Terms of service
The terms on which SocialPlus is provided, and what each of us is responsible for.

Acceptance of these terms
These terms apply to your use of SocialPlus. By creating an account, subscribing to a package or otherwise using the service, you agree to them.
If you are agreeing on behalf of a business, you confirm you have authority to bind that business, and “you” means both you and the business.
The service
SocialPlus is a platform for managing social media channels, messaging, leads and campaigns for a business. Features available to you depend on the package you subscribe to and the channels you choose to connect.
We also offer managed services delivered by our team, and enterprise engagements contracted separately. Where a separate agreement covers your engagement, its terms prevail over these for that engagement.
We may add, change or remove features over time. Where a change materially reduces what your package includes, we will tell you before it takes effect.
Accounts
You must provide accurate information when creating an account and keep it up to date. You are responsible for everything done under your account, for the security of your credentials, and for the people you invite and the permissions you give them.
You must have the authority to connect any social account or messaging number you connect, and to act on behalf of the business the account represents.
Tell us promptly if you believe your account has been accessed without authorisation.
Subscriptions and billing
Paid packages are billed in advance for the period you select and renew automatically unless cancelled before the renewal date. Fees, inclusions and limits are those shown for your package when you subscribe, or those set out in a separate agreement for enterprise engagements.
Fees are exclusive of taxes. Any tax that applies to you is added at the rate that applies to you. The currency shown when you subscribe is the currency of your contract, and payment is due in advance for each period.
Cancelling stops future renewals. It does not create a right to a refund for a period already begun, except where the law requires a refund or where we agree otherwise in writing. If a payment fails or remains unpaid, we may suspend access until it is settled.
We will give you at least 30 days’ notice of a change to your price. A change takes effect at your next renewal, so you can cancel before it applies.
Acceptable use
You agree not to use the service to:
- Send unsolicited bulk messages, or message people who have not agreed to be contacted by your business.
- Publish or send content that is unlawful, deceptive, harassing, or that infringes someone else’s rights.
- Impersonate another person or business, or misrepresent your relationship with one.
- Send malware, or phishing content designed to obtain credentials, payment details or other information by deception.
- Circumvent the rate limits, pacing controls or guardrails built into the platform, or a connected channel’s own limits.
- Attempt to gain unauthorised access to the service, other accounts, or the systems behind them.
- Resell or provide the service to a third party except as expressly agreed with us in writing.
Messaging consent
The service sends messages and campaigns on your behalf, to recipients you choose. You warrant that you have a lawful basis to contact every recipient you message through the service, and that you can evidence that basis if we ask.
You must honour opt-out and stop requests promptly, and you must not add someone back to a list after they have opted out.
You must not disable, evade or work around the pacing and rate controls built into the service. They exist to protect the health of your own connected accounts. Misuse of messaging is a ground for immediate suspension.
Third-party channels
The service connects to platforms operated by other companies — Facebook, Instagram, WhatsApp, YouTube, TikTok, X and LinkedIn. Your use of those platforms is governed by their own terms and policies, and you remain responsible for complying with them.
Those platforms control their own APIs, limits and eligibility rules. They may change, restrict or withdraw access, or act against your accounts, and we do not control and are not responsible for those decisions. Where a platform restricts access, affected features may become unavailable.
AI-generated content
The service can generate drafts, suggested replies and summaries using AI, and can reply to messages automatically where you enable that. AI output can be wrong, incomplete or unsuitable, and it must be reviewed before use.
Except where you have deliberately enabled automated replies, publishing or sending requires a person on your team to accept the output. Where you do enable automated replies — including replies that take an order end to end — you configure the limits within which they operate and you accept the results.
You are responsible for everything published or sent from your account, including AI-assisted content and automated replies, and for whether it is accurate, lawful and appropriate for your business. Claims, prices, offers and promises made in content you publish are yours.
Your content
You keep ownership of the content and business information you put into the service. You grant us the permissions needed to host, process and transmit it in order to provide the service to you — including sending it to the channels you have connected.
You are responsible for having the rights to the content you upload and publish, including images, logos and anything supplied by a third party.
Your indemnity
You will indemnify us against claims, losses, damages and costs, including reasonable legal costs, arising from your use of the service. That includes:
- Content you publish, and messages sent from your account, including automated and AI-assisted ones.
- Your breach of these terms, or of the terms and policies of a connected platform.
- A claim that your content infringes someone else’s rights.
Availability and support
We aim to keep the service available and to give reasonable notice of planned maintenance. The service is provided on an as-is basis and we do not guarantee uninterrupted or error-free operation, except where a specific service level is agreed in writing as part of an enterprise engagement.
Support is provided at the level included in your package or agreement.
Liability
Our total aggregate liability for all claims arising from the service is limited to the fees you paid for the service in the 12 months before the claim arose.
We are not liable for indirect or consequential loss, lost profits, lost revenue, lost data, or loss arising from a connected platform restricting, suspending or removing your accounts.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.
Suspension and termination
You may stop using the service and close your account at any time. We may suspend or terminate access where these terms are breached, where use puts the service or other users at risk, or where fees remain unpaid.
On termination, access ends and your content is deleted according to the retention approach described in the privacy policy. Export what you need before closing your account.
Changes to these terms
We may update these terms. The date at the top shows when they last changed, and material changes will be notified before they take effect. Continuing to use the service after that means you accept the updated terms.
Governing law
These terms are governed by the laws of the jurisdiction in which SocialPlus is established, and any dispute arising from them or from the service is subject to the courts of that jurisdiction.
Before starting a formal dispute, both of us will try in good faith to resolve it by discussion. Enterprise agreements may specify different terms for law, forum or dispute handling, and those prevail for that customer.
General
If a provision of these terms is found to be unenforceable, the rest of them still applies. If we do not enforce a term straight away, that is not a waiver of it.
You may not assign or transfer your agreement with us without our written consent. We may assign ours in connection with a business transfer.
These terms, together with the details of your package and any separate enterprise agreement, are the whole agreement between us about the service. Nothing in them creates a partnership, agency or employment relationship.
